The Penguin – Brinkley Lawsuit

From a recent article in The New York Sun:

In a rare move by a publishing house, the Penguin Group is suing a prolific biographer for the return of a $200,000 advance on the grounds he didn’t deliver a manuscript by the contracted due date. The author, Douglas Brinkley, was commissioned in 1998 to write a biography of the 1950s “Beat” writer Jack Kerouac in time for the 50th anniversary of his breakthrough 1957 novel “On the Road.” Because Mr. Brinkley was unable to complete the manuscript in time, the Penguin Group filed suit this week in state Supreme Court in Manhattan to wrest back the $200,000 they had advanced to Mr. Brinkley and the Kerouac estate.

According to Halachah, is Penguin entitled to the return of its advance?

The Taz rules1:

[אם] יש תנאי בשבועה ועיקר הדבר תלוי בו אז צריך להתקיים התנאי ואם לא נתקיים אפילו הוא מחמת אונס מכל מקום אין כאן שבועה כגון מי שעושה מקח עם חבירו שיעמיד לו סחורה פלונית ליריד שאז זמן מכירתה ולא בתר הכי ואירעו אונס להמקבל שלא יכול להעמידה לאותו זמן אלא אחר זמן פשיטא דפטור אחר כך מלקבלה נהי דאונס מהני להמקבל בענין שאם קבל עליו לתת איזה קנס אם לא יעמידה לאותו זמן כיון שהוא אונס אדעתא דהכי לא חייב עצמו מכל מקום זה העושה מקח גם כן לא התקשר אלא אם יבוא לאותו זמן כיון שהזמן גורם זה והוא עיקר בו מה שאין כן אם התנאי אינו דבר עיקר כל כך ואירע אונס שלא יכול לקיימו באותו זמן ודאי לא בטיל המעשה בשביל זה

The Shach disagrees2:

כל דבריו תמוהין בזה וכבר הוכחתי בחבורי בחשן משפט סימן כ”א … דאפילו בתנאי זמן וכהאי גוונא פטור … וגם אין סברא כלל לחלק בהכי דמה בכך (שעיקר) [צ”ל “שאין עיקר”] הזיווג3 תלי בזה סוף סוף כיון שתלה התנאי בזה ולא נתקיים התנאי אין חברו מתחייב שלא חייב עצמו אלא על התנאי זה יהיה מי שיהיה

The Pis’hei Te’shuvah states that the consensus of the Aharonim is with the Shach4.

Based on the above account of the Sun, most Poskim would presumably hold that Penguin is not required to accept the book subsequent to the originally agreed upon date, and is consequently entitled to the return of its advance. According to the Taz, however, the Halachah would seem to depend on:

• The exact wording of the contract
• The significance of the anniversary from a publishing perspective
